Aemetis (AMTX) delivered its strongest quarter in years, driven largely by a policy change. On the normalized basis, the company reported a loss of $0.02 per share against a consensus estimate of a $0.20 loss, a 90.0% earnings surprise and 94.6% year-over-year earnings growth. Revenue of $88.15 million topped the $69.74 million consensus by 26.4% and grew 48.9%. That marks a sharp acceleration from roughly 20% growth in the second quarter and 27% in the first.
The per-share figures need some explanation. The press release headlined net income of $5.2 million, or $0.07 per basic share, versus a $23.7 million loss a year ago. The diluted line in the same income statement shows a $0.02 loss, which is the figure behind the normalized result. The call framed this as the company's first profitable quarter. That is accurate on a net income basis, but shareholders were still left with a loss on a diluted basis. Adjusted EBITDA reached $24.8 million, up from $9.7 million in the second quarter and negative $1.3 million in the first. Operating income rose to $20.9 million from $5.8 million in Q2.
The quality of the quarter deserves scrutiny. Section 45Z production tax credits contributed $24.7 million of revenue, about 28% of the total. That amount included an approximately $11.0 million cumulative true-up for RNG dispensed in the first half of 2026, triggered by the Department of Energy's September 8 update to the 45ZCF-GREET model. Excluding that catch-up, third-quarter 45Z income was about $9.1 million. Remove the true-up, and the $5.2 million net income would have been a loss, because roughly $15.8 million of quarterly interest expense still absorbs most of the operating profit.
That is the central tension. The recurring economics have improved materially, but the headline overstates the run rate. The underlying improvement is real:
- **45Z credit value:** The GREET update lifted the dairy RNG credit value to roughly $62 per MMBtu from about $15, before discounts and transaction costs. Management called this a recurring source of revenue and cash flow.
- **RNG volume:** Volume rose 39% to 158,200 MMBtu.
- **Digester network:** Two new digesters brought the network to 14, and management said yields are running near 15 MMBtu per wet cow equivalent versus 13 modeled.
- **LCFS pricing:** Realized LCFS credit prices averaged $73 versus $54 a year ago. Management cited spot pricing near $90.
- **Ethanol:** The plant ran at 114% of nameplate, and the ethanol price rose 10% to $2.34, more than offsetting corn costs that climbed to $6.29 a bushel.
- **India biodiesel:** Sales rebounded sequentially to $7.3 million from $2.5 million but remained well below the year-ago $13.9 million, with utilization of just 17.7%.
The call added several forward catalysts:
- California year-round E15 takes effect January 1, 2027.
- An RNG fueling station is set to begin truck-fleet deliveries in November.
- Europe export approvals for India biodiesel are expected in the fourth quarter.
- Management expects to announce digester financing in the coming months.
- The third corn oil unit is due in December.
Against those positives, the mechanical vapor recompression (MVR) project slipped again. It was once targeted for the third quarter of 2026 and later for year-end. It is now expected by the end of the first quarter or in the first half of 2027, with most of the roughly $32 million annual benefit pushed into the second half of 2027. Management blamed tight supply of electrical components tied to data center demand.
The balance sheet is where bears have the most legitimate ammunition:
- **Cash:** Aemetis ended the quarter with $3.4 million, against $316.4 million in current debt and $60.5 million in short-term borrowings.
- **Working capital:** Current liabilities total about $440 million versus $29 million of current assets.
- **Equity:** The stockholders' deficit stands at $314.2 million.
- **Preferred redemption:** The Series A preferred redemption was extended only to December 31, 2026.
- **Capital spending:** Quarterly capex jumped to $20.2 million from $8.6 million.
The $22.4 million September credit sale shows that 45Z can be monetized. Even so, the growth plan still depends on financing that has not closed: a long-term Keyes refinancing, digester funding, and a market-dependent India IPO.
The market has not given the company credit for the policy win. Shares peaked at $2.22 on September 21, shortly after the GREET update. They then slid to a 52-week low of $1.11 on November 3 and entered the report at $1.25. That level is 24.2% below the open after the August report and 36.3% below the $1.96 200-day moving average. Investor sentiment, already slightly negative, weakened modestly from -0.09 to -0.14. Trend readings are mixed: momentum is positive, while price and AVWAP trends remain negative.
The bottom line is that the GREET update has structurally improved Aemetis' RNG economics, and revenue and EBITDA momentum are accelerating. However, this quarter's profit leaned on a one-time catch-up, the MVR payoff has moved deeper into 2027, and a heavily indebted balance sheet with minimal cash leaves refinancing execution as the variable that matters most. The market's skepticism reflects that risk rather than the strength of the quarter.
