BKV Corporation delivered a clean headline beat in the third quarter. Earnings Whispers puts EPS at $0.37 against a $0.30 consensus, a 23.3% surprise, on revenue of $478.37 million, up 72.2% year over year. The central tension is that the beat was driven by an upstream business that keeps outperforming, while the power business that underpins the equity story disappointed on near-term economics. Management offset that disappointment with its most concrete commercial progress to date: a cost reimbursement agreement with a leading frontier AI lab and a hyperscaler backstop on turbine equipment. The market has to decide whether that progress outweighs rising capital commitments made before any power purchase agreement is signed.
The quality of the numbers needs some unpacking. The supplied $0.37 matches the company's basic adjusted EPS. Diluted adjusted EPS was $0.36, and GAAP diluted EPS was only $0.27, down from $0.98 a year ago, when large unrealized derivative gains inflated the prior-year figure. Earnings Whispers shows earnings down 26.0% year over year. The release, however, shows recast adjusted EPS rising from $0.27, so the growth picture depends on the comparison base. The 72.2% revenue growth figure also contrasts with the company's recast comparison of $478.4 million versus $456.3 million, which includes the consolidated Power JV in both periods. Revenue mix also flatters the top line. Marketing revenue jumped to $65.1 million as BKV completed its first full quarter of marketing its own gas, but $60.9 million of marketing expense largely offsets it. Derivative gains roughly halved.
Sequentially, the quarter was softer. Adjusted EBITDAX attributable to BKV slipped to $132.7 million from a record $142 million in Q2. Adjusted net income fell to about $40 million from $51 million, and free cash flow before power growth declined to $31.2 million from roughly $40 million. Power was the weak spot:
- Gross power EBITDA of about $34 million missed expectations.
- The average spark spread fell to $21.18/MWh from $23.32 a year earlier.
- Realized power prices dropped to $40.37/MWh as solar and battery additions capped ERCOT peak pricing despite record demand.
- Q4 power Adjusted EBITDAX guidance of $10-30 million is modest.
Upstream, by contrast, was excellent:
- Production of 981.2 MMcfe/d topped the high end of guidance even before the Barnett acquisition's contribution.
- Development capex of $51.5 million came in below the low end of guidance.
- Cash unit costs eased to $1.42/Mcfe.
- Q4 production guidance of 1,010-1,030 MMcfe/d carries the company past 1 Bcfe/d.
The forward catalysts are real but still contingent. Phase 1 modular generation at Temple doubled to 400 MW under the AI-lab agreement. That agreement covers up to roughly $179 million if offtake terms are not reached by November 18, with an aggregate cap of $374.1 million if the offtaker takes assignment of the equipment contract. A $177 million hyperscaler backstop supports the 1.2 GW Jack County CCGT project, and 2027 power hedges rose to about 700 MW from 400 MW. Verra certification now lets BKV sell carbon sequestered gas under its Kiewit and Gunvor arrangements. Bears have legitimate ammunition, though:
- Q4 strategic power capex jumps to $240-270 million before any PPA is signed.
- Net leverage climbed to 2.41x from 1.8x in Q2, with net debt of $1.4 billion.
- Convertible dilution looms above roughly $48 per share.
- For the first time, management cautioned that a post-election shift in Texas politics could move PPA timelines, while still reaffirming its 2026-to-early-2027 target.
- D&C inflation and a well-supplied 2027 gas market add further pressure.
The balance sheet does provide cover. Liquidity rose to about $1.2 billion after the $575 million convertible offering at 1.625%, and the company expects $80-100 million of JV partner contributions in Q4.
The market had been punishing the stock heading into the print. Shares fell 19.9% from the $23.84 open after the August report to $19.10. That leaves them 27.9% below the 200-day moving average of $26.48 and just 4.4% above a fresh 52-week low of $18.29, set the day before earnings. The stock also sits about 30% beneath its September 8 inter-earnings high of $27.37. Investor sentiment improved meaningfully, from -0.19 to roughly neutral at 0.01. That shift suggests expectations had been washed out rather than turned bullish. The trend readings are mixed: momentum is positive, but price and AVWAP trends remain negative.
The bottom line is that BKV paired a solid upstream-driven beat with genuine progress toward monetizing its power platform, but has not yet converted that progress into a signed PPA. Until a contract arrives, investors are funding a sharply rising power build with higher leverage while near-term power margins soften and political timing risk enters the conversation. The beat and the commercial milestones give the stock a better story than its depressed price implies. The burden of proof now rests squarely on closing the AI-lab negotiations on schedule.
