Ecolab delivered the kind of operating quarter that would normally produce a clean beat, but CoolIT financing costs held the bottom line to an in-line result. Adjusted earnings of $2.18 per share matched the consensus estimate and fell 0.9% short of the $2.20 Earnings Whisper number. Revenue of $4.695 billion topped the $4.67 billion consensus by 0.5% and grew 12.7% year over year, while earnings grew just 5.3%. That gap is the central tension. Sales and operating income are accelerating, but per-share earnings decelerated from the first half, when adjusted EPS rose from $1.50 to $1.70 in the first quarter and from $1.89 to $2.09 in the second. Management attributed roughly 10% of earnings drag to CoolIT acquisition-related amortization and financing.
Beneath the headline, the quarter's quality was strong. Organic sales growth accelerated to 7%, with pricing at 5% and volume improving to 2% despite Middle East disruptions. Organic operating income rose 11%, and the organic operating margin expanded 70 basis points to 19.6%. Adjusted operating income grew 14%. The dilution came below the operating line. Net interest expense jumped to $124.8 million from $55.3 million, and long-term debt rose to $11.9 billion from $8.1 billion a year earlier. On a GAAP basis, diluted EPS fell 5% to $1.95, as special charges, largely acquisition and integration costs, climbed to $83 million. Adjusted gross margin slipped 70 basis points to 44.1% because of M&A mix. Organic gross margin held essentially flat at 44.9%, which shows that pricing is keeping pace with commodity inflation rather than outrunning it.
The call made the acceleration look broad rather than narrow. Organic growth has stepped up each quarter, from 3% to 4% to 5% to 7%. Global High-Tech organic growth surged to 63% from 29% in the second quarter, and CoolIT is more than doubling and running ahead of plan. Management said CDU and cold-plate capacity may need to expand. Other businesses also accelerated:
- Life Sciences grew 17%, with operating income up 49%.
- Ecolab Digital grew 34%.
- Food & Beverage grew 8%.
- Paper and Heavy Water returned to solid growth.
The soft spot is Institutional. Volume there is slightly negative as North American restaurant traffic fell mid-single digits. Management said it is "not satisfied" and plans to double its North American sales force and bundle hygiene, water and pest offerings.
The forward story is where bulls and bears divide. Management introduced a 2027 framework that calls for organic growth at the upper end of 5% to 7%, a 20% adjusted operating margin, and EPS growth that meets or exceeds the 12% to 15% target. An Investor Day in mid-November is expected to set a margin milestone beyond 20%. The near-term guidance is less exciting. Fourth-quarter adjusted EPS of $2.13 to $2.23 implies just 2% to 7% growth and carries a roughly 12-point CoolIT headwind. Full-year guidance of $8.10 to $8.20 was in line. Bears also have legitimate ammunition:
- Commodity costs are expected to stay elevated through 2027.
- The Middle East remains about a one-point volume drag.
- Life Sciences margins are guided back to the mid-to-high teens from 23%.
- Management cautioned that 63% High-Tech growth is lumpy and not a run rate.
CoolIT dilution should ease to about a five-point headwind in the first half of 2027 before turning into a tailwind in the second half. M&A has been deprioritized in favor of deleveraging toward roughly 2x leverage.
The market setup is more demanding than the in-line print suggests. Shares closed at $288.89 before the report, up 3.9% since the open following the July release and 4.9% above the 200-day moving average. They sat 2.4% below the inter-earnings high of $295.95 set October 15, after rebounding 8% from an October 1 low. Investor sentiment slipped from roughly neutral at -0.02 to -0.09, so expectations softened modestly heading into the print. Earnings Whispers price, momentum, sequential-growth and AVWAP trend readings were all positive. With the stock entering near the top of its range and a whisper number above consensus, an EPS result that only matched estimates gives buyers little immediate reward.
The bottom line is that Ecolab's operating engine is accelerating on nearly every measure that matters: organic growth, margins, High-Tech, Life Sciences and pricing. Acquisition financing, however, is temporarily disconnecting that progress from per-share earnings. Investors who believe the 2027 framework will be getting a credible acceleration story. Those focused on the next two quarters face single-digit EPS growth, persistent commodity pressure and a stock already trading near its recent highs.
