Element Solutions (ESI) delivered another record quarter and a clean beat. Adjusted EPS was $0.50, two cents ahead of the $0.48 consensus, a 4.2% surprise, and up 22.0% year over year. Revenue of $995.3 million topped the $968.0 million estimate by 2.8% and grew 51.7%. Management also raised full-year adjusted EBITDA guidance to approximately $720 million, the third consecutive increase. The headline growth rate, however, flatters the underlying trajectory. Organic growth slowed to 13% from 15% in the second quarter, and year-over-year margin expansion narrowed for a third straight quarter. That is the central tension: the absolute numbers keep setting records while the rate of improvement is cooling.
The composition of the 52% sales increase deserves scrutiny. Acquisitions, chiefly Micromax and EFC, contributed about 25 points. Pass-through metals pricing added another 14 points. Pass-through metals revenue jumped 155% to $318.5 million. Excluding metals, net sales rose a more modest 27% to $676.8 million. Electronics carried the quarter, with 18% organic growth and a 230-basis-point expansion in its adjusted EBITDA margin, to 32.2%. Specialties was the weak spot. Organic sales rose just 1%, adjusted EBITDA fell 6%, and segment margin contracted 390 basis points to 19.8%, despite the EFC contribution. GAAP diluted EPS improved to $0.27 from $0.16, a solid gain, but well below the adjusted figure. The gap reflects $30 million of amortization, $22 million of acquisition and transaction costs tied partly to the aborted Solstice deal, and a 20% adjusted tax rate. The company notes that this tax rate benefits from carryforwards expected to run through 2028.
The call added texture on both sides. Electronics momentum remains strong but is moderating:
- Semiconductor Solutions organic growth slowed to 24% from 31%.
- Assembly slowed to 16% from 18%.
- Circuitry held steady at 16%, which management says is outperforming the market by more than 500 basis points.
Management cited an industry PCB volume forecast that has risen from roughly 6% to more than 10%. It said customer order forecasts have only accelerated, and it described the outlook as better than at the May Investor Day. China grew 30%. Ex-metals EBITDA margin reached a record 28.2%, but expansion slowed to 50 basis points from 120 in Q2 and 170 in Q1. Above-target incentive compensation accruals cost more than 100 basis points, and underlying incrementals were in the mid-40s excluding that drag. Offshore energy swung to a 13% organic decline after a customer equipment failure. Industrial volumes were flat, with price-cost lag and weakness in Europe and construction.
The forward setup is where bears have legitimate ammunition. The guidance raise is real, but it lifts the high end of the prior $690-$710 million range by only $10 million. That helps explain why some trackers view the update as closer to a reaffirmation than a meaningful step-up. Because the $720 million includes full-year Micromax contributions, the call put implied fourth-quarter EBITDA at roughly $175-$176 million, below the approximately $183 million consensus. Management attributed the gap to seasonality and conservatism. Capex guidance has climbed to $110 million from $75 million originally, and inventory building for capacity expansion will soften Q4 cash flow. The year-end leverage target loosened from about 2.5x to below 3x. Management also declined to frame 2028 demand.
The longer-dated catalysts nonetheless improved. Couprion active copper moved from sampling to two high-volume manufacturing qualifications, with revenue expected in 2027 and material EBITDA in 2028. Cash generation and the balance sheet also strengthened:
- Free cash flow reached $135 million, up from $74 million in Q2 and negative in Q1.
- Pro forma leverage fell to 2.7x.
- The company repurchased about 1.1 million shares.
The Solstice termination returns ESI to its standalone plan under a reorganized leadership team, with a new COO and electronics decentralized into autonomous units.
Investor sentiment became noticeably more positive, rising from 0.19 to 0.34. The stock has not followed. Shares at $36.34 are down 5.4% since the open after the July report and sit about 0.8% below the 200-day moving average of $36.64. The internal trend readings are mixed, with price trend negative while AVWAP remains positive. The market has been reluctant to pay up for decelerating organic growth, even as estimates keep rising.
The bottom line is that Element Solutions remains a credible AI-infrastructure growth story with improving cash flow, a stronger balance sheet, and a new product cycle forming in Couprion. The quarter also showed that growth and margin expansion are past their steepest rates of improvement, Specialties is a drag, and the implied fourth quarter trails the Street. Upbeat sentiment and a stock pinned near its 200-day average suggest investors are waiting for evidence that the deceleration is seasonal rather than structural.
