Fortive's Guidance Raise Faces a Soft Third Quarter as Margins and Fluke Orders Take Center Stage

Fortive heads into its third-quarter report with an awkward split between story and stock. Last quarter the company delivered its first outright guidance raise since separating, with core growth climbing to 6.7% and adjusted EPS jumping 28%. Yet the shares have fallen 7.7% since that report while the S&P 500 gained 3.6%, a gap of more than 11 percentage points. The market appears to be looking past the acceleration and focusing on what management itself flagged: a muted third quarter and persistent gross-margin erosion.

The numbers on the table reflect that caution. Wall Street expects earnings of $0.70 per share on revenue of about $1.06 billion, growth of roughly 2.9% and 3.2%, respectively, from the year-ago $0.68 and $1.03 billion. That is modest growth by any measure, and a sharp step down from the double-digit EPS gains of the past four quarters. But it is largely by design. Management guided third-quarter EBITDA margin slightly below the second quarter and said EPS would rise only very slightly year over year because of a tougher operating-expense comparison. The Earnings Whisper of $0.73 sits a few cents above consensus, suggesting some investors believe that guidance was deliberately conservative and that the company has room to clear a low bar.

The full-year frame matters as much as the quarter. Fortive lifted its 2026 adjusted EPS outlook to $2.95 to $3.05 from $2.90 to $3.00, raised core growth to about 4% from 2% to 3%, and nudged reported revenue to roughly $4.35 billion. Consensus at $2.98 sits just below the midpoint, which means analysts have not fully embraced the raise. Note the arithmetic, too: with first-half core growth running above 5%, a 4% full-year target implies a meaningful second-half slowdown, partly explained by four fewer selling days in the fourth quarter. A third quarter that holds core growth near first-half levels would make the full-year target look cautious and invite talk of another increase.

Fluke, which now represents more than 40% of the company, is the engine to monitor. Last quarter orders outpaced revenue, book-to-bill held above one, and demand for the CertiFiberMax data center commissioning tool exceeded expectations while pulling other Fluke products along with it. Continued order strength there would validate the idea that data center buildouts are a durable driver rather than a one-time product launch. Supporting evidence could come from the Gordian Flash AI estimating tool, running above plan, and early traction for AI features in eMaint.

The challenge to the narrative is margin quality. Adjusted gross margin fell about 100 basis points to 63% last quarter, extending a streak of compression tied to faster growth in lower-margin products such as multi-site retail service work and sterilization capital equipment. The Advanced Healthcare Solutions segment gave back about 80 basis points of EBITDA margin after expanding sharply in the first quarter. Another round of mix dilution would suggest growth is coming at a cost, while stabilization would ease the market's biggest worry. EMEA, which slipped on geopolitical and economic softness, and any update on memory chip or rare earth supply are secondary swing factors, along with expected tariff refunds of $20 million to $25 million.

Sentiment has warmed from decidedly bearish before the last report to mildly bullish now, even as the stock trades below its 200-day moving average and in the lower half of its post-earnings range. That combination leaves room for relief if results hold up. The central question is whether Fortive can show that its accelerating top line, led by Fluke, is translating into stable margins. If it can, the guidance raise looks like the start of a trend; if gross margin slips again, the market's skepticism will look justified.
