Prestige Consumer Healthcare's Breathe Right Deal Faces Its First Full-Quarter Test as Shares Slide

Prestige Consumer Healthcare is about to deliver the strangest-looking quarter in its recent history: revenue jumping by roughly a fifth while earnings per share go nowhere. That is not a contradiction so much as the arithmetic of a debt-financed shopping spree. It is also why this report matters more than usual. The market has spent the past three months marking the stock down despite a guidance raise, and the September quarter is the first chance to see the newly acquired Breathe Right and Lacorium businesses fully inside the numbers.

Wall Street expects earnings of $1.06 per share on revenue of $328.7 million when the company reports before the open on November 5. That implies revenue growth of about 19.9% from the year-ago $274.1 million, while EPS would slip 0.9% from $1.07. The gap tells the story. Breathe Right brings roughly $200 million in annual sales and Lacorium about $40 million, so together they should contribute something near $60 million in a quarter. Strip that out and the consensus implies a legacy business that is flat to slightly down, which squares with management's warning that Q2 would show a modest organic decline after roughly two points of retailer orders, largely tied to one major e-commerce customer, were pulled into the June quarter. Meanwhile, about $100 million in annual interest and $33 million in amortization from the roughly $2 billion net debt load absorb most of the acquired profit.

Management's full-year outlook now calls for EPS of $4.55 to $4.65 on revenue of $1.29 billion to $1.315 billion, up from $4.42 to $4.51 and about $1.1 billion before the deals. The published full-year consensus of $4.45 on $1.10 billion sits below even the old range on revenue, which suggests some estimates have not fully caught up with the acquisitions rather than signaling deep skepticism. Still, it means a reiteration of guidance would effectively pull the Street higher, and any trim would be felt sharply.

The prior call laid out what needs to go right. Gross margin guidance moved to about 57% from roughly 55.6%, and G&A to around 10% of sales, both on the strength of the richer, leaner acquired businesses. A September quarter showing gross margin climbing toward that level would validate the claim that these deals improve the mix, not just the size, of the company. Breathe Right integration was reportedly finished in under 60 days, so commentary on early sell-through for the new Sport version and the Menthol expansion will help show whether the brand can grow under new ownership. Cash generation is the other pillar: after a record $83.7 million of free cash flow in Q1, steady conversion toward the $270 million-plus target is what makes the leverage manageable. On the legacy side, ClearEyes, now under 3% of sales, remains supply constrained through the first half; signs that the Pillar 5 sterile facility investment is stabilizing output would ease a drag that cost the company dearly last fiscal year.

Investors are not giving the benefit of the doubt. Shares have fallen 14.5% since the last report while the S&P 500 was essentially flat, and at $47.39 the stock sits well below its 200-day moving average of $54.38 and closer to the bottom of its post-earnings range of $44.46 to $55.99. Sentiment has also soured, moving to 49.6% bearish from 44.1% a quarter ago. That pessimism lowers the bar somewhat, though it also reflects genuine unease about leverage and an organic growth target held at just 1% to 3%.

The central question is whether Prestige can show that the acquisitions are expanding margins and cash flow fast enough to justify the debt. If the organic dip proves to be the timing issue management described, margins step up, and full-year guidance holds, the recent selloff looks overdone. If the legacy business weakens beyond the telegraphed pull-forward, the market will likely conclude that the company bought growth to mask a stalling core.
