Supernus Ends Its Standalone Era With a Big Beat and Higher Guidance, but the Indivior Merger Now Drives the Story

Supernus Pharmaceuticals delivered one of its cleanest quarters in years, and the market has largely stopped grading it on standalone results. Third-quarter earnings of $0.78 per share beat the $0.34 consensus by 129.4% and grew 69.6% from a year ago. Revenue reached a record $226.77 million, up 18.0% and 1.4% above the $223.67 million consensus. On a GAAP basis, the swing was even sharper. Diluted EPS was $0.35, compared with a loss of $0.80 a year earlier, and operating results moved from a $60.2 million loss to $21.2 million of operating income. The company also raised full-year guidance for a second straight quarter. Yet the shares sit 18.6% below where they opened after the August report. That is the central tension: the fundamentals improved just as the investment case shifted to the Indivior merger, which closes November 2.

The quality of the beat holds up, but the year-ago comparison flatters it. Last year's third quarter carried $46.6 million of acquisition costs and $30.7 million of share-based compensation tied to the Sage deal. As a result, the GAAP improvement partly reflects the absence of one-time charges; SG&A fell to $128.1 million from $179.7 million. The adjusted figures still show real operating leverage. Non-GAAP operating earnings rose to $55.2 million from $41.9 million a year ago and $28.7 million in the first quarter, a margin of roughly 24%.

The four growth products, Qelbree, GOCOVRI, ZURZUVAE and ONAPGO, generated $192.2 million, up 29%. Against that, the legacy portfolio continues to erode:

  • Oxtellar XR fell 34%.
  • APOKYN fell 38%.
  • The "other" category fell 52%.

The call added important detail on product momentum:

  • **ONAPGO** nearly doubled from first-quarter sales of $8.4 million to $17.1 million. Management said the backlog has cleared, and the FDA granted seven years of orphan exclusivity.
  • **ZURZUVAE** collaboration revenue climbed to $41.7 million from $27.6 million in the first quarter, and more than 43,000 patients have now been treated.
  • **Qelbree** prescribers rose to about 46,000 from roughly 43,000.
  • **GOCOVRI** posted record net sales of $42.6 million.

The headline, however, masks clear deceleration in year-over-year growth:

  • Qelbree net sales grew 12% versus 20% in the first quarter, even though prescriptions held near 18%. That gap points to some pricing or mix pressure.
  • GOCOVRI slowed to 4% from 15%.
  • ZURZUVAE's U.S. sales growth eased to about 53% from roughly 100%.
  • ONAPGO enrollment forms have leveled off at about 400 to 425 per quarter rather than stepping higher.

The guidance raise was meaningful but measured. The revenue range moved to $875 to $900 million from $860 to $890 million, and adjusted operating earnings guidance moved to $160 to $180 million from $150 to $180 million. The original ranges were $840 to $870 million and $140 to $170 million. Earnings Whispers characterizes the new outlook as in line with estimates, so the raise largely caught up with what investors already expected. Management said standalone margins would have kept expanding. That point is now largely theoretical, because the guidance lapses at closing and combined 2027 guidance is not due until February.

The forward-looking risks are mostly structural:

  • **Product concentration:** Sublocade will account for roughly 44% of pro forma revenue at a combined company of about $2.2 billion. Supernus shareholders are exchanging a diversified CNS growth story for heavier exposure to a single product.
  • **Integration:** Management pointed to its Sage record, where it met or slightly exceeded a $200 million synergy target, as support for the $125 million Indivior target. Integration execution remains the main risk.
  • **Pipeline delay:** The SPN-817 Phase 2b epilepsy readout slipped to 2028 from 2027 because of slow enrollment.
  • **Cash trend:** Cash of $359.5 million is above year-end levels but has declined from $384 million in the first quarter and $372 million in the second.

Investor sentiment has turned noticeably more negative, moving from essentially neutral (-0.002) to -0.20. The price action shows why. The inter-earnings high of $52.50 came on August 3, the day the merger was announced, and shares then slid to a 52-week low of $37.54 on October 16, the day after shareholders approved the deal. At $41.08, the stock is 9.4% above that low but still 13.3% below its 200-day moving average. The Earnings Whispers trend readings are split. Sequential growth and momentum are positive, while price and AVWAP readings remain negative, reflecting a business improving underneath a stock still under pressure.

The bottom line is that Supernus' final standalone quarter showed real progress: record revenue, a large earnings beat, expanding margins and a second guidance raise. However, slowing year-over-year growth, an in-line outlook and a delayed pipeline readout give bears legitimate ammunition. More importantly, the shares are now a proxy for the combined Supernus-Indivior company. Until February's 2027 guidance establishes a baseline for synergies, Sublocade's durability and combined margins, the market appears likely to keep discounting this quarter's strength.
